Tucker Ellis Corporate Team Discusses Alternative Entities at CWRU School of Law Program

On February 13, Jayne Juvan, Chris Hewitt, and Dan Schiau – joined by retired Tucker Ellis partner Glenn Morrical – presented “Powers and Pitfalls: Governance Structure and Disputes Involving Alternative Entities.” The program, sponsored by Case Western Reserve University School of Law, provided law students and practitioners with practical takeaways for negotiating partnership or operating agreements and avoiding disputes that might arise. The team discussed possibilities for organizing alternative entities – focusing primarily on limited liability companies and partnerships – and provided an overview of fiduciary duties, including contractual governance provisions. They also shared from their own experiences how disputes commonly arise between majority and minority interest holders.
