Casey Holzapfel focuses her practice on business transactions and securities.

In her transactional practice, Casey represents public and private companies in mergers and acquisitions and capital-raising transactions. She has managed due diligence investigations, researched complex corporate governance issues, and drafted deal documentation and regulatory applications.

In her securities practice, Casey counsels public companies, private companies, broker-dealers, and investment advisers on federal and state securities laws and regulations.

Transactions and Securities

  • Assisted in serving as underwriter’s counsel on a shelf takedown of preferred stock traded on Nasdaq
  • Assisted in counseling holder of limited partnership interests through an exchange of the limited partnership interests for shares of a public company
  • Assisted in serving as issuer’s counsel for a $35-million shelf takedown of common shares of a bank holding company in an underwritten public offering

Financial Services

  • Worked with Federal Reserve Bank of Atlanta and FDIC in connection with significant investment by client in a Georgia bank holding company
  • Assisted on sell side of auction sale of a national bank
  • Assisted on buy side of potential merger of thrift holding company and bank holding company and their depository subsidiaries
  • Worked on “networking agreement” for securities broker-dealer to offer securities to customers of an unaffiliated national bank
  • Assisted with securities design as placement agent’s counsel in connection with private offering by an Indiana bank holding company
  • Assisted in drafting investment advisory agreements that comply with the Department of Labor’s Fiduciary Rule
