Jayne Juvan Named ABA Corporate Governance Committee Vice Chair

Tucker Ellis partner Jayne Juvan has been named an incoming vice chair of the American Bar Association’s (ABA) Corporate Governance Committee. In this capacity, Ms. Juvan will be primarily responsible for development and dissemination of content covering the most pressing issues facing boardrooms across the globe. Ms. Juvan’s three-year term is effective immediately.

The mission of the Corporate Governance Committee is to promote and support effective corporate governance, domestically and internationally, for business and nonprofit enterprises by developing resources and providing thought leadership; creating networking opportunities; and facilitating a forum for the exchange of legal and practical information and insights on emerging governance and governance-related policy issues for the benefit of attorneys, including both outside and in-house counsel, and other governance professionals.

Ms. Juvan’s practice focuses on corporate governance, risk oversight, regulatory compliance, and transactions. She counsels public and high-growth private companies, private equity funds, and venture capital funds from initial formation through all stages of the business life cycle.

Ms. Juvan earned her law degree summa cum laude at Capital University Law School and her undergraduate degree from Kent State University. She is a longtime member of the ABA’s Corporate Governance Committee. She will continue in her roles of co-chair of the ABA’s Task Force on Director Misconduct, which is drafting a handbook covering challenging boardroom situations, and its Publications Subcommittee, which produces CGC In Sight, the ABA’s official corporate governance publication. Ms. Juvan will also continue in her role as a co-chair of the ABA’s Joint Task Force of the Corporate Laws Committee and the Corporate Governance Committee, formed to produce an updated version of the Handbook for the Conduct of Shareholders’ Meetings.
